1. Acceptance. By accessing any AGRON website, application, API, document, presentation, video or other property (collectively, the “Properties”), you agree to be bound by these Terms of Use. If you do not agree, you must not access the Properties.
2. License. AGRON grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Properties solely for your internal evaluation, education or contractually authorized use. No other rights are granted by implication, estoppel or otherwise.
3. Restrictions. You will not (a) scrape, crawl or harvest the Properties except as expressly permitted by robots.txt; (b) reverse engineer, decompile or disassemble any software except where such restriction is prohibited by law; (c) remove or alter any proprietary notices; (d) misrepresent affiliation with, endorsement by, or sponsorship from AGRON; or (e) use the Properties to develop a competing product or service.
5. User Submissions. Any feedback, suggestion or material you submit to AGRON is provided on a non-confidential basis. You grant AGRON a perpetual, irrevocable, worldwide, royalty-free license to use such submissions for any purpose.
6. Third-Party Materials. The Properties may include links to or content from third parties. AGRON does not control and is not responsible for any third-party content, products or services.
7. Disclaimers. THE PROPERTIES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
8. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGRON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUES, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE PROPERTIES.
9. Indemnification. You will defend, indemnify and hold harmless AGRON and its affiliates, officers, directors, employees and agents from and against any claims, damages, liabilities and expenses arising from your misuse of the Properties or violation of these Terms.
10. Termination. AGRON may suspend or terminate your access to the Properties at any time, with or without cause, with or without notice.
11. Governing Law; Venue. These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. Exclusive venue lies in the state and federal courts located in Wilmington, Delaware.
12. Changes. AGRON may modify these Terms at any time. Continued use of the Properties after such modification constitutes acceptance of the revised Terms.
